BOROUGH OF PLEASANT HILLS ALLEGHENY COUNTY, PENNSYLVANIA PROPOSED ORDINANCE AUTHORIZING THE INCURRENCE OF LEASE RENTAL DEBT PURSUANT TO THE LOCAL GOVERNMENT UNIT DEBT ACT Notice is hereby given that on May 15, 2017 at 7:00 p.m. at the Council Chambers located in the Pleasant Hills Borough Municipal Building, 410 E. Bruceton Road, Pittsburgh, Pennsylvania 15236, the Council ("Council") of the Borough of Pleasant Hills ("Borough") or in the alternative at a meeting of the Council not less than three (3) nor more than thirty (30) days from the date of advertisement of this notice, will consider the enactment of an ordinance (the "Ordinance") authorizing the incurrence of lease rental debt of which the following is a summary. The Ordinance: (1) authorizes the incurrence of lease rental debt in an aggregate principal amount not to exceed $8,296,797.64 by entering into a Guaranty Agreement (the "Guaranty Agreement") pursuant to which the Borough will unconditionally guaranty the full and prompt payment of a portion of all principal and interest on a PENNVEST Note to be issued by the Pleasant Hills Authority (the "Authority"), to be issued by the Authority to provide funds for the Project of the Authority as defined in the Ordinance; (2) authorizes and directs the proper officers of the Borough to: (a) prepare, certify and file the debt statement required by section 8110 of the Pennsylvania Local Government Unit Debt Act and the Borrowing Base Certificate in connection therewith and (b) execute, attest and deliver as appropriate, the Guaranty Agreement among the Borough, the Authority and PENNVEST; (3) sets forth the schedule of payments under the PENNVEST Note; (4) approves the form of the Guaranty Agreement; (5) specifies the maximum amount of the Borough obligation pursuant to the Guaranty Agreement and the sources of payment of such guaranty obligation; (6) pledges the full faith, credit and taxing power of the Borough in support of such debt obligation; (7) establishes a sinking fund; (8) provides for the proper officers of the Borough to take all other required, necessary or desirable related action in connection with the Project and/or the Guaranty Agreement, including without limitation, to make any filings with the Pennsylvania Department of Community and Economic Development which may be necessary. (9) provides for the severability of provisions of the Ordinance; and (10) provides for the repeal of all inconsistent ordinances or resolutions or parts of ordinances or resolutions.
